Terms of Service

Effective date: July 14, 2026

These Terms of Service (“Terms”) govern your access to and use of Onivo’s accounts-payable automation platform and website at onivo.ai (the “Service”), provided by Onivo (“Onivo,” “we,” “us”). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

Onivo provides software to capture, extract, match, route for approval, and post invoices and related accounts-payable documents to connected systems. Features may change over time as we improve the Service.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to: (a) use the Service unlawfully or to infringe others’ rights; (b) upload malicious code or attempt to disrupt the Service; (c) reverse engineer or attempt to gain unauthorized access; or (d) use the Service to process data you are not authorized to process.

4. Customer Data

You retain all rights to the data you submit to the Service (“Customer Data”). You grant Onivo a limited license to process Customer Data solely to provide and improve the Service. You are responsible for the accuracy and legality of Customer Data and for having the rights to submit it.

5. Fees

Paid plans are billed as described in your order or subscription. Fees are non-refundable except as required by law or expressly stated in your agreement.

6. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Onivo and protected by intellectual-property laws. These Terms grant no ownership rights in the Service.

7. Third-party integrations

The Service may integrate with third-party systems (e.g. ERPs, email, cloud storage). Your use of those services is governed by their terms, and we are not responsible for third-party services.

8. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Onivo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Onivo does not provide accounting, tax, or legal advice.

9. Limitation of liability

To the maximum extent permitted by law, Onivo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Onivo’s total liability arising out of or relating to the Service will not exceed the amounts you paid to Onivo in the twelve months preceding the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. Upon termination, provisions that by their nature should survive will survive.

11. Governing law

These Terms are governed by the laws applicable to Onivo’s place of establishment, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction, unless otherwise required by applicable law.

12. Changes

We may update these Terms from time to time. Material changes will be reflected by updating the effective date above; continued use of the Service constitutes acceptance.
